Wholesale Terms & Conditions for re-sellers

Summary of Key Terms:

  • For direct delivery orders, there is no minimum order quantity, and orders can be placed all year round. For pre-orders, there is a minimum order of 20 pieces, and pre-orders must be placed during the pre-order seasons (January - March and June - August).

  • Standard payment terms for customers are 30 days from the invoice date. For direct payments in the B2B Portal or by bank transfer within 10 days, a 2% discount is available. For new customers, payment terms are confirmed following a standard credit review.

  • All commercial exchanges (“swaps”) requests must be approved by orders@mudjeans.eu before any action is taken. Customers may email the MUD Sales team with their request, including the items they wish to exchange and what they wish to exchange for. Only after approval by the MUD Sales team may customers place the new order in the B2B portal with the note “Swap order”.

    Only “Never Out Of Stock” (NOOS) styles are available for commercial exchanges, seasonal styles are excluded. Only customers who pre-ordered in the last pre-order season are allowed to request commercial exchanges.

    Commercial exchanges are subject to a 1:1.3 exchange ratio. Customers must make a direct delivery order for a different style or wash that was not in their assortment, in a quantity equal to the style being returned, plus an additional 30%. This requirement is intended to cover the warehouse handling and administrative costs incurred by the exchange process. The additional units can be selected from styles already carried by the customer.

    Example: A customer wishes to exchange 10 pieces of an NOOS style (e.g., the Carry Mid Loose – Stone Vintage). They must place an exchange order containing:
    10 pieces of a style or wash not currently in their assortment (e.g., the Carry Mid Loose – Faded vintage — a new wash they have not previously carried).
    3 additional pieces from any style already in their assortment (to make up the required 30% on top of the 10)
    Total new order: 13 pieces, in exchange for the 10 returned pieces.

    All items must be in good condition, with complete and clean labels and hangtags. Additional handling costs may be charged in the case of damage to the hangtags in the products or any other damage.

    After the commercial exchange request has been approved and the new order has been placed, the customer may ship the approved return items to MUD Jeans’ warehouse following the steps mentioned by the Sales team. All transport costs involved are at the customer’s own expense.

    Once the warehouse receives and processes the returned items, MUD Jeans will issue a credit note. Compensation for exchanges will be issued as a credit note only; refunds are not available.
  • Returns are not accepted; only commercial exchanges are available.

  • Our standard wholesale markup is 2.6, with higher markup tiers available for larger order volumes as explained in the chart below.

    Terms & Conditions for re-sellers

    The following terms of sale and delivery for MUD Jeans International B.V. shall apply to all orders unless otherwise agreed in writing. The Terms of Sale and Delivery shall be subject to changes periodically and without notice.

    By placing an order, the customer declares to have read, fully understood and accepted these Terms of Sale and Delivery.

    1.         Delivery Dates
    For standard orders, delivery timelines may vary based on stock availability and shipping logistics. We strive to process and dispatch orders within 24/48 hours timeframe, and an estimated delivery date will be provided at checkout. However, please allow for potential variations depending on unforeseen factors.

    Pre-Order Items: Pre-ordered items have an estimated delivery window provided at the time of purchase. While we aim to meet these timelines, delivery dates for pre-orders may vary based on production and supply chain factors. You will receive an update if there are any changes to the expected delivery timeframe.

    Never Out of Stock (NOOS) Items: NOOS items are regularly restocked, and while they can always be reordered, actual delivery dates depend on the most recent restocking schedule. You may contact us for additional information on anticipated availability.

     

    2.         Acceptance of Orders
    A contract of sale between MUD Jeans and the customer is not binding until a written confirmation of order is sent by MUD Jeans.
    If unsatisfactory credit information about the customer is obtained after MUD Jeans acceptance of the order, MUD Jeans shall be entitled to cancel any order without incurring any liability for this, change payment terms into ‘payment upfront’ or demand the provision of a fully adequate bank guarantee.

    Any order accepted by MUD Jeans shall be subject to force majeure, inadequate sales of the design ordered, and sub supplier’s failure to deliver materials required for production.

    3.         Cancellation of orders
    Cancellation of orders by the customer can only be accepted in writing to orders@mudjeans.eu and accepted by MUD Jeans on a case-by-case basis.

    If the customer wishes to cancel a pre-order after our written confirmation, a penalty of 30% of the total value of the cancelled items will apply.

    4.         Modifications of orders
    Modifications of orders by the customer can only be accepted in writing to orders@mudjeans.eu and accepted by MUD Jeans on a case-by-case basis.

    If the customer wishes to modify a pre-order after our written confirmation, this must be communicated during the pre-order season. After this period, the order will be automatically considered confirmed and no modifications will be accepted.

    MUD Jeans reserves the right to adjust or modify pre-orders after the final production decisions for the season have been made.


    5.         Terms of delivery

    For an order value above €/£250, all goods will be delivered DAP (Delivered At Place) to the address stated on the confirmation in accordance with the ICC’s Incoterms 2021 unless otherwise clearly stated in the confirmation of order. For DAP delivery the costs associated with import customs clearance are excluded.

    For an order value below €/£250, we charge shipping costs. Complaints regarding visible defects must be submitted within 15 days of receipt of goods.

    6.         Delays

    In case of delays owing to circumstances construed as being force majeure situations, the date of delivery shall be postponed for the duration of any such circumstances preventing delivery. MUD Jeans shall be entitled, at its option, to either postpone the delivery of an order or to cancel an order if the customer fails to make payments for goods previously delivered. This does not entitle the customer to cancel present orders.

    7.         Prices

    Any prices quoted shall be subject to changes in customs duties and excise taxes of any kind and sudden exchange rate fluctuations. MUD Jeans cannot accept discounts on the retail sales price. It is subject to acceptance by MUD Jeans before any discounts are approved in writing.

    8.         Payment

    If the customer fails to make payment, the debt collection legislation in force at any given time shall apply. If the purchase sum is paid after MUD Jeans has taken steps to recover the claims through the courts, the customer shall pay all incidental costs. Any other financial loss that MUD Jeans incurs as a result hereof shall be compensated fully by the customer. Invoices for goods and possible payment reminders will be sent through an external debtor company on behalf of MUD Jeans.

    If the customer fails to pay one or more invoices on time, MUD Jeans is entitled to change payment and delivery conditions so that future orders from the customer - both placed and confirmed orders as well as new orders – are only available on prepayment. This applies even though prior agreement for supply on credit may have been entered.

    Eligibility for changing the payment term also applies after the date on which the customer may have paid the overdue invoices and brought out of the arrears.

     

    9.         Property

    The property of the goods delivered shall remain with MUD Jeans until payment in full has been made.

     

    10.   Complaints

    Complaints shall be made within 15 days of receipt of the goods at the latest. Complaints of non-visible damage shall be made within 15 days of the day on which the damage first could have been discovered, but not later than 3 months after the delivery day.

    Complaints shall be made in writing and contain a precise statement of the nature of the error/defect and a clear picture of it.  

    Complaints must be sent to: orders@mudjeans.eu. Complaints shall be subject to acceptance by MUD Jeans before any goods are returned.

    11.   Commercial exchange

    12.   Returns

    Returns are not accepted, only commercial exchanges are available.

    13.   Recycling jeans

    As a circular denim brand, we don’t just produce new jeans, but also collect old ones (of any brand with min. 96% cotton) so we can make new ones out of them. On the MUD Jeans webshop we motivate consumers to make a sustainable choice by giving them a discount of €/£10 on their new jeans if they hand in an old pair.

    We’re so happy to see that quite some retailers are joining us in our attempt to clean up. Some of them always grant a discount, others only on the last week of the months or on special events. We can’t help on the discount part, however if you have collected a box of old jeans please let us know and we will cover the shipping costs to our warehouse.

    14.   Reliefs (Force Majeure)

    The following circumstances shall be considered as case of relief if they impede the performance of the contract or render performance thereof unreasonably burdensome: industrial disputes and any other circumstances beyond the control of the parties such as fire, war, mobilization or draft for military service of a similar scope, requisitioning, sequestration, currency restrictions, insurrection and civil unrest, shortage of transport, general shortage of materials, restrictions in the use of power and non-delivery or delays in deliveries by sub suppliers owing to any of the circumstances mentioned hereunder.

    The party wishing to claim relief by reason of any of the said circumstances shall notify the other party in writing without delay on the intervention and on the cessation thereof. MUD Jeans reserves the right to terminate the contract if, by reason of any of the said circumstances, the performance of the contract becomes impossible for more than six months.

    15.   Limitation of liability

    MUD Jeans shall, in any lawfully agreed respect and for all types of damages, including product liability, not be liable for any direct or indirect business interruption loss, consequential loss or any other loss whatsoever. In the event of termination or cancellation, the maximum liability shall consequently be repayment of the payment made for the delayed or defective part of the order.

     

    16.   Sales Address

    In the absence of any written agreement with MUD Jeans to the contrary, goods shall only be sold from the business address stated on the order.

    17.    Governing Law & Disputes
    These terms and conditions are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or in connection with these terms that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the competent court in Amsterdam, the Netherlands.
